Introduction

Welcome to NotareFlow, a music studio management platform operated by NotareFlow LLC ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website, mobile applications, and services (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

  1. User Eligibility

Age Requirements

  • You must be at least 18 years old to create a Teacher account

  • Parent/Guardian accounts require the user to be at least 18 years old

  • Students under 13 years of age require verifiable parental consent in compliance with COPPA

  • Students aged 13-17 may use the Service with parental permission

Teacher Verification

Teacher accounts are intended for independent music instructors offering private music lessons. By creating a Teacher account, you represent that you are qualified to provide music instruction and that all information you provide is accurate and complete.

Geographic Availability

The Service is currently available to users in the United States. We may expand availability to other regions in the future. By using the Service, you represent that you are accessing it from a location where use is permitted.

2. Account Responsibilities

Account Security

  • You are responsible for maintaining the confidentiality of your account credentials

  • You must immediately notify us of any unauthorized use of your account

  • You are responsible for all activities that occur under your account

  • We recommend using strong, unique passwords and enabling additional security features when available

Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. Providing false or misleading information may result in account suspension or termination.

Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or for any other reason at our sole discretion. You may also close your account at any time by contacting us at contact@notareflow.com.

3. Payment Terms

Platform Fees

NotareFlow charges a platform fee of 1% of each transaction, plus applicable payment processing fees. Current Stripe processing rates are approximately 2.9% + $0.30 per card transaction, and 0.8% per bank transfer (ACH) transaction (capped at $5.00). All fees are disclosed before payment is processed.

Billing Cycles

  • Teachers may configure billing as per-lesson or on a monthly basis

  • Invoices are generated according to the billing cycle set by the teacher

  • Payment is due by the date specified on each invoice​

Refunds and Cancellations

Refund policies for lessons are set by individual teachers. NotareFlow does not control or guarantee refunds for lesson payments. For disputes regarding lesson refunds, please contact your teacher directly. If a refund is processed through the Service, the base transaction amount will be refunded; however, third-party processing fees (e.g., Stripe fees) are non-refundable and will be deducted from the total refund amount. Platform subscription fees are non-refundable except where required by law.

Stripe Connected Account Agreement

Payment processing services for Teachers on NotareFlow are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service. By agreeing to these Terms or continuing to operate as a Teacher on NotareFlow, you agree to be bound by the Stripe Connected Account Agreement, as the same may be modified by Stripe from time to time.

Autopay Authorization

Parents or Students who enable Autopay authorize NotareFlow to automatically charge their designated payment method for all invoices on the due date specified by their Teacher. You agree that:

  • You have the authority to authorize such charges to your payment method.

  • You will maintain valid payment information on file.

  • You may cancel Autopay at any time in your Billing Settings, provided you pay any outstanding invoices manually.

  • If an Autopay transaction fails, you remain responsible for the invoiced amount and any applicable late fees.

4. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

  • Harassment or Abuse: Harassing, threatening, intimidating, or otherwise abusing other users of the Service

  • Copyright Infringement: Uploading, sharing, or distributing content that infringes on the intellectual property rights of others, including copyrighted sheet music

  • Fraudulent Activity: Engaging in fraudulent transactions, providing false payment information, or attempting to deceive other users

  • Data Scraping: Using automated tools to access, collect, or harvest data from the Service without our express written consent

  • System Interference: Attempting to interfere with, compromise, or disrupt the Service or its underlying systems

  • Impersonation: Impersonating another person or entity, or falsely stating or misrepresenting your affiliation with a person or entity

5. Intellectual Property

User Content

You retain ownership of content you upload to the Service (lesson notes, messages, files, etc.). By uploading content, you grant us a limited license to store, display, and transmit that content as necessary to provide the Service. You represent that you have the right to upload any content you submit and that it does not infringe on the rights of others.

Platform Content

The Service, including its design, features, text, graphics, and code, is owned by NotareFlow LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our content without express written permission.

DMCA Copyright Policy

We respect the intellectual property rights of others. It is our policy to respond to any claim that Content posted on the Service infringes the copyright or other intellectual property infringement ("Infringement") of any person.

If you are a copyright owner, or authorized on behalf of one, and you believe that the copyrighted work has been copied in a way that constitutes copyright infringement that is taking place through the Service, you must submit your notice in writing to our Designated Copyright Agent via email at dmca@notareflow.comand include in your notice a detailed description of the alleged Infringement.

License Grants

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purposes. This license does not include any right to sublicense, sell, resell, or commercially exploit the Service.​

6. Limitation of Liability

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Cap on Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOTAREFLOW LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government actions, or internet service failures.

7. Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law provisions.

Arbitration

Any dispute arising out of or relating to these Terms or the Service shall be finally resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Chicago, Illinois. Judgment on the arbitration award may be entered in any court having jurisdiction.

Class Action Waiver

YOU AGREE THAT ANY CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. You waive any right to participate in a class action lawsuit or class-wide arbitration against NotareFlow LLC.

8. Electronic Communications

By creating an account, you consent to receive electronic communications from NotareFlow (e.g., via email, SMS, or in-app notifications). These communications may include:

  • Security Alerts & Verification: Mandatory messages regarding account security, 2FA, and password changes.

  • Transactional Notices: Receipts, invoices, and scheduling confirmations.

  • Service Updates: Announcements regarding features or policy changes.

While you may opt-out of marketing communications, you cannot opt-out of administrative or security-related notifications as they are integral to the security and operation of the Service.

9. Miscellaneous

Modification Rights

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or through a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and NotareFlow LLC regarding the Service and supersede all prior agreements and understandings.
